Company domiciliation in Morocco

Every registered company must declare a registered office and prove it to the trade register. Domiciliation in Morocco meets that obligation without tying you to a lease: you get a real business address, a certificate accepted by the CRI (Centre Régional d'Investissement, the regional investment centre), and proper handling of your administrative mail.

Why the trade register requires a proven registered office

The registered office is not just a line in the articles of association. It is the address to which your company is legally attached: it determines which commercial court has jurisdiction, which tax office you report to, and where the administration sends its notices. The court registry therefore asks for supporting evidence at the time of registration, and rejects an address that corresponds to no real occupancy.

Three documents are accepted: a title deed, a lease in the company's name, or a domiciliation contract signed with a provider that itself holds premises. Commercial domiciliation is simply that third route, governed by the code de commerce (the commercial code), which allows a company to establish its registered office at the address of a professional third party.

It answers very concrete situations: a newly formed company that does not want to sign a lease before it has clients, a consultant whose work takes place at the client's site, or a foreign group opening a subsidiary before it has hired anyone. In all these cases, renting premises purely to satisfy the registry makes no economic sense. The address is no less official for that: it appears on the trade register, on your invoices and on your contracts, and deserves the same care as premises you would occupy yourself.

What the domiciliation contract covers

The contract binds your company to the domiciliation provider for a fixed, renewable term. It states in writing what each party owes the other.

  • The full registered office address, for use in your articles of association, your invoices and your letterhead
  • The attestation de domiciliation (domiciliation certificate) to attach to the registration file, or to a transfer of registered office
  • Receipt of ordinary mail, registered letters and official notices
  • Access to the premises so that documents can be consulted during an inspection
  • Entry of your company in the register of domiciled companies kept by the provider
  • The terms for termination and for returning documents at the end of the contract

The legal obligations of the domiciliation provider

Domiciliation is not simply renting a letterbox: the provider carries obligations of its own, and that is precisely what gives value to the certificate it issues.

It must hold real premises, keep a register of domiciled companies recording the identity of each company and of its officers, and retain the corresponding supporting documents. It must also inform the tax administration when a company it hosts arrives or leaves, so that the declared address stays consistent with the company's actual situation.

In return, the domiciled company undertakes to declare any change affecting its form, its officers or its activity, and to use the address in accordance with the contract. It remains solely responsible for its own filing obligations: domiciliation provides an address, not protection against a late TVA (VAT) return.

A purely fictitious address, with no identified provider and no premises, exposes the company to serious difficulties: notices deemed served that never reach you, a banking procedure blocked, a forced correction of the registered office. That is the main risk with the cheapest offers.

Handling mail and official notices

Most of the mail arriving at a registered office is administrative. A letter ignored for three weeks often costs more than the annual subscription.

  1. Receipt and sorting

    Mail arrives at our premises, where it is opened or kept sealed according to your instructions, then sorted between ordinary correspondence, bank mail and administrative mail.

  2. Immediate alert on sensitive items

    Registered letters and notices from the tax administration, the CNSS (the national social security fund) or the court are flagged to you as soon as they arrive, with a scanned copy.

  3. Collection or forwarding

    You collect your mail at the domiciliation address, or we forward it to an address of your choice, in Morocco or abroad, at the agreed frequency.

  4. Presence during inspections

    When an officer calls at the declared address, they find premises, someone to speak to and the register of domiciled companies. We alert you and pass on any document left on site. Incoming mail is logged, which makes it possible to establish a date of receipt if a deadline is ever disputed.

Domiciliation in Casablanca, Rabat and the rest of Morocco

Before signing, check three things. First, that the provider occupies real premises you can visit. Second, that its certificate is in fact accepted by the CRI and the trade register of the city concerned, which is not automatic for addresses saturated with hundreds of companies. Third, that someone can be reached at the address during business hours, a practical condition for inspections and registered letters to go smoothly.

Domiciliation in Casablanca remains the most sought after, because most contracting clients, banks and economic authorities are based there, and because a Casablanca address reassures customers. Foreign companies opening an entity in Morocco use domiciliation almost as a matter of course: at the time of registration, the subsidiary has neither staff nor premises, yet already has to declare a registered office. The address then serves as the entry point for tax mail, bank notices and correspondence with the CRI. A transfer remains possible at any time: a company already registered elsewhere can move its registered office to a domiciliation address, by way of a partners' decision and an amending entry in the trade register.

Can a foreign company domicile its Moroccan subsidiary?

Yes, and it is the usual solution during the set-up phase. The subsidiary has a compliant address from the moment it is registered, before it has hired anyone or rented premises, and receives its tax and banking mail there.
